Good governance has emerged as a defining principle of responsible corporate citizenship and has increasingly gained prominence in the corporate arena. Compliance is undoubtedly one of the key pillars of good governance. However, a culture of compliance cannot be established overnight. Merely introducing policies, procedures and controls to demonstrate compliance —particularly in response to audit requirements or to avoid instances of non-compliance — may create only a superficial appearance of good governance. Such an approach is comparable to applying a temporary coating to a metal surface: it may provide an outward appearance of strength and protection, but it may not address the underlying weaknesses and therefore may not be sustainable in the long run.

True governance excellence requires compliance to be deeply embedded in the organisation’s culture, decision-making processes, systems and accountability mechanisms. It should not be viewed merely as a means of passing audits or avoiding regulatory consequences; rather, it should become an integral part of how the organisation conducts its business, exercises accountability and creates sustainable value for its stakeholders.

In many organisations, compliance is often perceived primarily as a legal obligation or a requirement to satisfy the audit process. However, from a broader corporate governance perspective, compliance should go beyond merely fulfilling statutory or regulatory requirements. It should evolve into an organisational culture, reflected in the attitudes, behaviours and everyday practices of both management and employees. When compliance becomes a habit rather than a mere obligation, it strengthens accountability, transparency, discipline and ethical decision-making, which ultimately contributes to greater operational efficiency, employee confidence and sustainable organisational performance.

The practice of corporate governance should be embedded in the day-to-day practices and behaviours of an organisation. It should be reflected in a cooperative attitude among employees, a service-oriented mindset towards customers, a clear understanding of the organisation’s business objectives, a strong commitment to the timely delivery of goods and services, respectful and professional interactions with customers, and a continuous commitment to improvement and operational excellence. These seemingly routine practices collectively contribute to building an organisation founded on accountability, integrity, efficiency and stakeholder orientation.

At the same time, employers and organisational leadership have a critical responsibility to cultivate and sustain a healthy corporate culture. This requires establishing a fair, transparent and merit-based work environment, with zero tolerance for nepotism, corruption and unethical practices. Management should lead by example, reinforce ethical standards, recognise desirable behaviours and encourage employees to embrace the values and practices that support good governance. In this way, corporate governance becomes not merely a framework of rules and compliance requirements, but a living organisational culture reflected in everyday decisions, behaviours and actions.

Ultimately, the endeavour to establish and sustain good corporate governance requires creating a strong cultural fit across the organisation. This can be achieved through the free flow of relevant information and knowledge among employees, open communication, regular meetings, workshops, formal training and development programmes, continuing professional development (CPD), seminars and other knowledge-sharing initiatives. Such platforms provide employees with opportunities to understand the organisation’s values, policies, ethical standards and governance expectations, while also encouraging dialogue, collaboration and shared responsibility. Over time, these practices help transform corporate governance from a formal framework of rules and compliance requirements into an integral part of the organisation’s culture and everyday behaviour.
