Delivery Hero’s board has backed Uber’s $15 billion takeover proposal and recommended that shareholders accept the offer, potentially paving the way for a major consolidation of the global food-delivery market.

The German delivery company’s supervisory and management boards said the proposal was in the interests of shareholders, employees, and other stakeholders. They also judged the offer price to be fair and said a combination with Uber could accelerate product innovation.

If completed, the acquisition would significantly expand Uber’s global delivery presence and strengthen its ability to compete with rivals including DoorDash and Just Eat Takeaway.

Uber was already Delivery Hero’s largest shareholder before making the offer. The company has set a minimum acceptance level of 50% plus one share of Delivery Hero’s outstanding share capital. Prosus, another major investor, has agreed to sell its 17% holding as part of the proposed transaction.

Delivery Hero has separately agreed to sell operations in 14 markets where Uber Eats is already present to investment firm SSW Partners for $1.6 billon.

The proposed takeover comes during a period of rapid consolidation in food delivery. Recent transactions have included DoorDash’s agreement to acquire Deliveroo and other deals involving Uber, Getir, Grab, and Foodpanda.
